Dos Eagles Golf Club Operating By-Laws

Article I: NAME

Section I: The name of the club shall be known as the Dos Eagles Golf Club, here after referred to as “Club”. The Club was established with the Southern CA Golf Association on June 1, 2019.

Article II: MISSION

Section I: The mission and purpose of the club shall be to promote the enjoyment of golf and fellowship through close cooperation with the management of the various courses, hereafter referred to as Management.

Article III: BUSINESS YEAR

Section I: The fiscal year of the club shall be January 1st through December 31st.

Article IV: MEMBERSHIP

Section I: Club memberships shall be open to all age 18 and older. To be eligible a membership candidate must have a registered SCGA handicap. The candidate must be of good moral character. Upon completion of the Club Application, the candidate’s acceptance into the Club shall be determined by the Board of Directors.

Section II: Each member will play each event at their current SCGA handicap or equivalent thereof. If a guest of a member participates in an event that guest must show evidence of an established SCGA handicap or equivalent thereof. If this guest does not currently have an established SCGA handicap or equivalent thereof, that guest will participate in the event with a scratch or zero (0) handicap.

Section III: Membership confers no voice in the operation of the golf course, clubhouse, or any facility of the golf course.

Section IV: Any conflict between members of the Club must be submitted and the Board will determine appropriate action to be taken if any, up to and including suspension or expulsion of the offending member (s) from the club.

Section V: Each member’s membership will coincide with the SCGA Golf Nation database.

Section VI: Nothing in these by-laws shall prevent a Country Club member from joining and belonging to the Club.

Article V: FINANCIAL

Section I: The annual dues shall be $80.00 and any change to the dues structure will require a vote of the general franchise membership. Dues are payable to the Club and to be delivered to the Treasurer.

Article VII – Election of Officers. Board of Directors

Section I: There shall be a Nominating Committee of one to three active Club members selected by the Board from the general membership.

Section II: The Nominating Committee shall select the candidates for the Board of Directors and shall report their recommendations at the November  Board meeting. Upon acceptance by the Board, ballots are to be sent to the general membership no later December 1st and returned no later than December 15th .

Section III:  Vote Count- The President of the Board will appoint three tellers from the general membership to count and report the results of the voting in conjunction with any two members of the existing board.

Article VIII – Duties of the Officers

Section I: President; The President shall call and preside at all meetings of the Board of Directors and the general membership.

Section II: Vice President;   In the absence of the President the Vice President shall perform all duties of the President.

Section III:   Secretary; The Secretary shall keep records of all meetings of the Board and the general membership and shall conduct the official correspondence of the Board and the Club, except such as may be specifically assigned to others.

Section IV: Treasurer; The Treasurer shall have a general charge of the account books of the Club and its funds. The Treasurer shall keep an accurate account of the various receipt and disbursements.

  • Authorization to Deal with Funds

In the absence of the Treasurer, designated officers of the Board are authorized to endorse checks made payable to the Club, but only for the purpose of deposit to the Club’s account. All checks or other instruments obligating the Club to pay money shall be signed by any two (2) of the following; Secretary-Treasurer, President, Vice President. All disbursements must be substantiated by evidence of an invoice or statements of indebtedness, a receipt may be obtained from any payee which shows cause for payment.

  • Authorization to Obligate the Club for Expenditures

The Board of Directors, by majority approval, may authorize expenditure of Club funds. No other committee, office or member may authorize the expenditure of Club funds.

As custodial of the funds he shall deposit them into a bank or savings and loan association as the Board designates. He shall submit such statements of the accounts as the Board may require. As Membership Chairman he will endeavor to meet with and encourage any new member to the club and maintain a current file of all members. The Board may assign additional duties as it may deem necessary.

Article IX – Meetings

Section I: A general membership meeting shall be held not less than once in a calendar year. Special meeting of the general membership may be called by the President at his/her discretion.

Section II: A legal quorum at any general meeting shall be fifty percent (50%) of the members in attendance, plus one (1), present in person or by proxy. Each active member shall be entitled to one (1) vote.

Section III: The Board of Directors will meet at the call of the President. A quorum shall consist of any five (5) members of the Board.

Article X – Liability

Section I: HOLD HARMLESS AGREEMENT;  Any member, visitor quest, or other person who in any manner participates in any contest, game exercise, competition or other activity sponsored or scheduled by the Club, either on or off the Club’s home course, shall do so at his own risk and shall hold the Club , its Officers, Board Members, committee chairmen and committee members, harmless from any and all loss, cost, claim, injury, damage or liability resulting from any activity as a participant or member of the Club, and /or any act or omission of any Club Officer, Board Member, Committee Chairmen or Committee Member.

Article XI – Amendments to the By-Laws

Section I: The Board of Directors shall have the power to repeal or amend any of these By-Laws, provided such action shall not be effective until approved by two-thirds (2/3) vote of the general membership.

Article XII – Rules of Order

Section I: Robert’s rules of Order, Revised shall govern all meetings of the Club

Article XIII – Tournaments

Section I: To accommodate all members, working and non-working, all tournaments sponsored by the Club will be played on the weekends and / or holidays.

Section II: The Club will sponsor four (4) major tournaments each year. These tournaments will consist of:

  • President’s Cup
  • Members’ 2 Man Team Best Ball
  • Holiday Member-Guest
  • Club Championship

The Tournament Chairman shall have the authority to modify the format and days of play of the major tournaments pursuant to the course availability as dictated by management. The Tournament Chairman is responsible to develop and maintain a Tournament Procedures Policy and the Operating Guidelines.

Section V: Members are responsible for payment of their own green fees.

Section VI: Unless otherwise specified, only members of the Club are eligible to participate in any event sponsored by the Club.
